Terms and Conditions

Interpretation In these conditions:

  • ‘CLIENT’ means the person who accepts a quotation of the Company for the provision of the Services or whose order for the Services is accepted by the Company.
  • ‘COMPANY’ means Matrix Safety Training and Support Ltd (registered in England under number 1458143.
  • ‘CONDITIONS’ means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in Writing between the Client and the Company.
  • ‘CONTRACT’ means the contract for the provision of the services.
  • ‘OUTPUT MATERIAL’ means data, drawings, plans, documents, test results, and other information prepared by the Company in relation to the Services.
  • ‘SERVICES’ means the provision of consultancy, testing, survey, training, inspection, or other services for which the company undertakes to perform for The Client under the Contract.
  • ‘WRITING’ includes electronic mail, facsimile transmission, and comparable means of communication.

Any reference in these Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted, or extended at the relevant time. The headings in these Conditions are for convenience only and shall not affect their interpretation.

 

Basis of the Sale

The Company shall provide the Services and the Client shall pay for the same in accordance with any written quotation or tender of the Company which is accepted by the Client, or any written order of the Client which is accepted by the Company, subject in either case to these conditions, which shall govern the Contract to the exclusion of any other terms and conditions.

No Variation to these Conditions shall be binding unless agreed in Writing between the authorised representative of the Client and the Company.

The Company’s employees or agents are not authorised to make any representations concerning the Services unless confirmed by the Company in Writing. In entering into the Contract the Client acknowledges that it does not rely on, and waives any claim for breach of, any such representations, which are not so confirmed.

Any typographical, clerical, or other error or omission in any sales literature, quotation, price list, acceptance of offer, invoice, or other document or information issued by the Company shall be subject to correction without any liability on the part of the Company.

 

Orders and Specifications

Purchase orders submitted by the Client will be accepted by the Company when confirmed in Writing by the Company’s authorised representative.

The Client shall be responsible to the Company for ensuring the accuracy of the terms of any order (including any applicable specification) submitted by the Client and for giving the Company any necessary information relating to the Services within a sufficient time to enable the Company to perform the Contract in accordance with its terms.

The Company reserves the right to make any changes in the specification of the Services which are required to conform with any safety or other statutory requirements.

No order which has been accepted by the Company may be cancelled by the Client except with the agreement in Writing of the Company and on condition that the Client shall indemnify the Company in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges, and expenses incurred by the Company as the result of cancellation.

 

Price of Services

The price of the Services shall be the Company’s quoted price. All prices quoted are valid for 28 days only or until earlier acceptance by the Client, after which time the Company may alter them without giving notice to the Client.

The Company reserves the right by giving notice to the Client at any time before commencement of the Service, to increase the price of the Services to reflect any increase in the cost to the Company which is due to any factor beyond the control of the Company (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials, or other costs of manufacture), or any delay caused by any instructions of the Client or failure of the Client to give the Company adequate information or instructions.

Value Added Tax (VAT) will be added to all charges at the rate applicable at the tax point at the time of invoice. Where the Client is registered for VAT within the European Union but outside the United Kingdom, the work will be zero-rated provided the Company has been notified of the Client’s VAT registration number. If the Client is not registered or the Company has not been so notified, VAT at the rate applicable at the tax point shall become payable.

 

PAYMENT

All course fees must be paid in full prior to the start of any course. Your place on a course is not confirmed until payment has been received in full. You will not be permitted to attend a course unless payment has been made, unless agreed in advance with us.

 

CANCELLATION

Should you need to cancel a course, a full refund will be given if you cancel with more than 30 days’ notice in writing. If you cancel with less than 30 days’ notice, the following refund will apply:

  • Less than 30 days but more than 7 days before course commencement: 50% refund
  • Less than 7 days’ notice: no refund given

Should you wish to transfer to the same course on a different date but you are within the periods detailed above, we will only accept special circumstances for doing so. If we have incurred costs, these may be payable prior to the transfer.

Matrix Safety Training and Support Ltd reserves the right to cancel or change the date and/or venue of any course. We will endeavour to provide all delegates with as much notice as possible. If the alternative date or venue is not suitable, a full refund will be provided.

 

COMPLAINTS

If you are not completely satisfied with the service we have provided and you wish to make a complaint, please contact us so we can provide you with a complaints form. We aim to provide an excellent service, so any complaint will be dealt with seriously and professionally.

 

SAFETY

Delegates are expected to obey the rules of our training facility and adhere to all applicable regulations. Failure to observe and follow our rules may result in removal from the course without a refund.

 

PRIVACY POLICY

We are required to gather your personal data for the purpose of registering you with external training bodies, issuing certification, and taking payment. We will not share your information with any third parties other than those required for the above actions. Should you wish to discuss what personal data we hold, please contact us.

 

OWNERSHIP AND USE OF COURSE MATERIALS

All course materials provided are the intellectual property of Matrix Safety Training and Support Ltd and are intended for personal use by course delegates. Reproduction, distribution, or use of these materials for commercial purposes is prohibited without prior written consent.

 

CERTIFICATION

Certification for course completion will only be provided upon successful completion of the course requirements and full payment of course fees. Certifications are issued in accordance with the guidelines of the relevant external governing bodies.

 

LIABILITY

Matrix Safety Training and Support Ltd accepts no responsibility for any personal property brought onto the training premises. We are not liable for any personal injury or loss incurred during the course, except where such liability is a result of our negligence.

 

ONLINE COURSE ACCESS AND USE

Access to our online training platform is provided on the condition that users adhere to our acceptable use policy. Users must not engage in activities that could harm the platform or other users, including but not limited to data mining, scraping, or distributing harmful software.

 

USER-GENERATED CONTENT

Users may post their own content on our platform. By doing so, users grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute this content as necessary for the operation of our services. Users are responsible for ensuring their content does not infringe on the rights of others.

 

CHANGES TO TERMS

Matrix Safety Training and Support Ltd reserves the right to amend these terms and conditions at any time. Any changes will be communicated to delegates in writing.
